DEFINITIONS 

You are the "Client" and Ayriel Studios (the trading name of Ayriel Millinder Limited) is the "Service Provider", collectively referred to as the "Parties".

Ayriel Team 
Employees and contractors of Ayriel Studios, required for the performance of the Booking. 

Booking 
The booking details detailed on the Booking Form, which will be sent to you by email for your agreement. 

Booking Fee 
The Booking Fee detailed on the Booking Form. 

Client’s Equipment 
Equipment brought into Ayriel Studios by, or on behalf of, the Client. 

Client’s Team 
Persons invited by the Client to enter Ayriel Studios and who are directly involved in the Booking. 

Overtime Fee 
An excess charge made for late departure.

STUDIO 

Ayriel Studios will be made available from the start date and time until the end date and time, as detailed in the Booking. Only the Client’s Team and the Ayriel Team may enter Ayriel Studios. 

The Ayriel Team will be available between 8:30am and 7:30pm, but Ayriel Studios will be available throughout the Booking. In the event the Client’s Team wishes to work outside the Ayriel Team’s hours, a member of the Client’s Team will be instructed in, and responsible for, the arming and disarming of the fire and security systems. 

Where a Booking limits access to a part of the Studio, then access will be denied to other areas. 

The Client is responsible for:

• Ensuring the suitability of Ayriel Studios for the purpose of the Booking

• Ensuring that the Client’s Equipment is suitable for use in, and compatible with, the equipment in Ayriel Studios

• The quality of any recording undertaken by the Client’s Team

• Any problem or damage to the Client’s Equipment or to the Ayriel Studios equipment as a consequence of use, including computer virus damage.

The insurance of instruments is the Client's personal responsibility whilst with us at Ayriel Studios. We have installed a sophisticated CCTV system on-site to further increase the safety of instrument(s) and equipment, in addition to the intruder alarm system. The liability for the instrument or piece of equipment, however, remains with its rightful owner.

The Client is responsible for ensuring that the Client’s Team takes action to prevent hearing damage due to prolonged exposure to noise levels above 85 dB(A) in accordance with The Control of Noise Regulations 2005. Ayriel Studios reserves the right to take action to maintain suitable noise levels and will not be liable for lost time if this is considered by us to be necessary. 

INVOICING 

The Client shall pay a deposit of £500 on acceptance of the Booking. 

The balance becomes due no later than 24 hours prior to the commencement of the Booking. Equipment may be delivered, by written agreement, prior to the Booking. 

If the Booking is extended, such that an additional invoice is raised, it will become due immediately. 

Late payment will be subject to interest in line with The Late Payment of Commercial Debts (Interest) Act 1998. 

CANCELLATION OR VARIATION TO THE BOOKING 

If a Booking is cancelled prior to the balance being paid the deposit can be used against a further booking. If the balance has been paid and a booking can be made with an alternative Client which uses the same dates then a proportion of the Booking Fee may be reimbursed at Ayriel Studios discretion. 

If the Client’s Team arrives before the Booking Fee has been paid, we reserve the right to refuse entry until payment has been received. 

Under no circumstances can a Booking impinge on a booking made by another client. An Overtime Fee in the amount to 10% of the Booking Fee will be charged in the event of a late departure. 

SMOKING, DRUGS & ALCOHOL USE 

Smoking is not allowed by law inside Ayriel Studios, within any on-site accommodation or in any vehicle being used by us to transport the Client’s Team. An outside designated area is provided. 

Alcohol may be consumed in the on-site accommodation. Illegal drugs must not be consumed anywhere. We reserve the right to refuse entry to Ayriel Studios or terminate the Booking if, in our opinion, any member of the Client’s Team has consumed alcohol to excess, or illegal drugs at all. No fee will be refunded under these circumstances.

INTELLECTUAL PROPERTY 

The Client is responsible for ensuring that they do not infringe any intellectual property rights. 

The Client undertakes not to record material which might be considered illegal, or which might invoke action against Ayriel Studios, and indemnifies Ayriel Studios against any claims resulting from the recording. 

The rights in any recording made at Ayriel Studios remain with the Client. 

PUBLICITY & PRIVACY 

Ayriel Studios may publicise that the Client has undertaken a Booking at the studio after the Booking is complete, or earlier with the Client’s written consent. Any photographs or video footage taken during the Booking by either the Client’s Team or the Ayriel Team cannot be published on any social media platform without the agreement of the other party. 

FORCE MAJEURE 

Ayriel Studios shall not be liable for any failure to perform any of its obligations in the event of Force Majeure. In the event Ayriel Studios is unable to fulfill our obligations, we will offer alternative dates or offer to refund the Booking Fee for the proportion of the Booking which has been cancelled.
